1. Overview

This Policy is intended to preserve and protect LeaseScores’ rights, defenses, limitations of liability, and safe-harbor protections available to online service providers under the DMCA and other applicable law. Nothing in this Policy is intended to impose any duty or obligation on LeaseScores beyond those expressly required by applicable law, nor shall this Policy be construed to create any contractual or other rights in favor of any user, copyright owner, claimant, or other third party. LeaseScores’ adoption or publication of this Policy shall not be construed as an admission that LeaseScores is liable for, has knowledge of, controls, supervises, endorses, or is responsible for any user-submitted content or third-party content available through the Service.

LeaseScores intends to process notices that substantially comply with the DMCA in accordance with the procedures set forth in the DMCA and applicable law, as LeaseScores determines appropriate under the circumstances and applicable law. LeaseScores may remove, disable access to, restrict, or otherwise act with respect to allegedly infringing material in its sole discretion and in accordance with the DMCA, this Policy, LeaseScores’ Terms of Service, and applicable law. LeaseScores further reserves the right, in its sole discretion, to limit, suspend, or terminate access to the Service; remove, disable access to, or restrict content; terminate user accounts; and take any other action LeaseScores deems appropriate, at any time and without prior notice, including, without limitation, in connection with actual, alleged, suspected, or repeat infringement.

2. Reporting Copyright Infringement

If you believe that any content accessible through the Service infringes your copyright, you may submit a written notification to LeaseScores’ designated copyright agent that substantially complies with the requirements of 17 U.S.C. § 512(c)(3). To be considered under this Policy, and to constitute a proper notification under the DMCA, the notification must be a written communication that includes substantially the following information:

  • a. A physical or electronic signature of the copyright owner or a person authorized to act on

behalf of the owner of an exclusive right that is allegedly infringed;

  • b. Identification of the copyrighted work claimed to have been infringed, or, if multiple

copyrighted works available through the Service are covered by a single notification, a representative list of such works;

  • c. Identification of the material that is claimed to be infringing or to be the subject of

infringing activity, and information reasonably sufficient to permit LeaseScores to locate the material, including, where available, the URL or other specific location of the material on the Service;

  • d. Information reasonably sufficient to permit LeaseScores to contact the complaining party,

including the complaining party’s name, mailing address, telephone number, and email address;

  • e. A statement that the complaining party has a good-faith belief that use of the material in

the manner complained of is not authorized by the copyright owner, its agent, or the law; and

  • f. A statement that the information in the notification is accurate and, under penalty of

perjury, that the complaining party is authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

LeaseScores may require the complaining party to provide additional information reasonably necessary to verify the complaint, identify the allegedly infringing material, evaluate whether the notice substantially complies with the DMCA, or communicate with the user who submitted or made available the challenged material.

LeaseScores reserves the right, but does not undertake any obligation except as expressly required by applicable law, to review, investigate, respond to, remove, disable access to, restrict, or restore any material that is the subject of a copyright complaint. LeaseScores may reject, decline to process, or request additional information concerning any notification that is incomplete, inaccurate, unclear, unsupported, submitted to an improper address or agent, or otherwise fails to substantially comply with the DMCA. LeaseScores has no obligation to adjudicate copyright ownership disputes, licensing disputes, fair use disputes, or other legal or factual disagreements between third parties.

Upon receipt of a notification that LeaseScores determines, in its discretion, substantially complies with the DMCA, LeaseScores may remove or disable access to the allegedly infringing material, notify the user who posted, uploaded, transmitted, supplied, or otherwise made available the material, terminate or restrict access to the Service by repeat infringers, and take any other action LeaseScores deems appropriate under the DMCA, this Policy, LeaseScores’ Terms of Service, and applicable law. LeaseScores’ receipt, review, processing, or response to any notification shall not constitute an admission that any material or activity is infringing, unlawful, or otherwise improper. Likewise, LeaseScores’ decision not to remove or disable access to material shall not constitute an admission that the material or activity is non-infringing, authorized, lawful, or otherwise proper.

LeaseScores LLC — DMCA & Copyright Policy

Any person who knowingly materially misrepresents that material or activity is infringing may be liable for damages, including costs and attorneys’ fees, under 17 U.S.C. § 512(f). LeaseScores reserves all rights and remedies with respect to any false, misleading, abusive, duplicative, automated, or bad-faith notice, including the right to seek recovery of any damages, costs, or attorneys’ fees available under applicable law.

3. Designated Copyright Agent

DMCA notices should be sent to LeaseScores’ designated copyright agent at the contact information below. Notices submitted to other LeaseScores email addresses, personnel, mailing addresses, accounts, portals, or communication channels may not be received or processed for purposes of the DMCA.

LeaseScores may update the contact information for its designated copyright agent from time to time by posting revised information through the Service and, as applicable, updating its designation with the U.S. Copyright Office. It is the responsibility of the complaining party to submit any DMCA notice to LeaseScores’ then-current designated copyright agent using the contact information provided in this Policy.

For avoidance of doubt, submitting a complaint or communication to LeaseScores by any method other than the contact information specified above may result in delay or non-processing of the complaint and shall not be deemed proper notice to LeaseScores under the DMCA unless and until actually received by LeaseScores’ designated copyright agent.

LeaseScores is not responsible for any delay, failure of delivery, technical error, or misdirection resulting from a complaining party’s failure to submit a notice to LeaseScores’ then-current designated copyright agent using the contact information provided in this Policy.

4. Counter-Notification

If you believe that material you posted, uploaded, transmitted, supplied, or otherwise made available through the Service was removed or disabled as a result of mistake or misidentification, you may submit a written counter-notification to LeaseScores’ designated copyright agent that substantially complies with the requirements of 17 U.S.C. § 512(g)(3).

To be considered under this Policy, the counter-notification must be a written communication that includes substantially the following information:

  • a. Your physical or electronic signature;

  • b. Identification of the material that was removed or to which access was disabled, and the

location at which the material appeared before it was removed or access to it was disabled;

  • c. A statement, under penalty of perjury, that you have a good-faith belief that the material

was removed or disabled as a result of mistake or misidentification of the material to be removed or disabled;

  • d. Your name, mailing address, telephone number, and email address;
  • e. A statement that you consent to the jurisdiction of the United States District Court for the

Eastern District of North Carolina, or, if your address is outside the United States, to the jurisdiction of any judicial district in which LeaseScores may be found; and

  • f. A statement that you will accept service of process from the person who submitted the

original notification of alleged infringement or an agent of such person.

LeaseScores may reject, decline to process, or request additional information concerning any counter-notification that is incomplete, inaccurate, unclear, unsupported, submitted to an improper address or agent, or otherwise fails to substantially comply with the DMCA. LeaseScores has no obligation to adjudicate disputes between the complaining party and the user who submitted the counter-notification.

Upon receipt of a counter-notification that LeaseScores determines, in its discretion, substantially complies with the DMCA, LeaseScores may forward the counter-notification to the party who submitted the original notification of alleged infringement. Unless LeaseScores receives notice that the original complaining party has filed an action seeking a court order to restrain the user from engaging in infringing activity relating to the material on the Service, LeaseScores may, but is not obligated except as expressly required by applicable law, restore the removed material or cease disabling access to it in accordance with the timeframes and procedures set forth in the DMCA.

LeaseScores may decline to restore material where LeaseScores believes, in its sole discretion, that the material may violate this Policy, LeaseScores’ Terms of Service, another LeaseScores policy, the rights of any third party, or applicable law, even if the material is the subject of a counter-notification.

LeaseScores’ receipt, review, forwarding, processing, rejection, or response to any counter- notification shall not constitute an admission that any material or activity was removed or disabled by mistake or misidentification, or that any material or activity is infringing, non- infringing, authorized, unauthorized, lawful, or unlawful. LeaseScores reserves all rights and remedies with respect to any false, misleading, abusive, duplicative, automated, or bad-faith counter-notification, including the right to seek recovery of any damages, costs, or attorneys’ fees available under applicable law.

5. Repeat Infringers

In accordance with the DMCA and other applicable law, LeaseScores has adopted and intends to reasonably implement a policy of terminating, in appropriate circumstances, users and account holders who LeaseScores determines are repeat infringers. LeaseScores may also, in its sole discretion, limit, suspend, disable, or terminate any user’s account or access to the Service; remove, disable access to, restrict, or refuse to restore any content; or take any other action LeaseScores deems appropriate where LeaseScores believes that a user has infringed or may infringe the intellectual property rights of others, whether or not the user is deemed a repeat infringer.

LeaseScores reserves the right to determine, in its sole discretion, what constitutes “repeat infringement” and what circumstances warrant termination or other remedial action. Without limiting the foregoing, LeaseScores may consider any notices of alleged infringement, counter- notifications, court orders, admissions, user history, patterns of conduct, the number or nature of complaints received, the credibility and completeness of complaints, and any other facts or circumstances LeaseScores deems relevant. LeaseScores may consider the totality of the circumstances, including notices of alleged infringement and any counter-notifications or other responses submitted by the affected user, in evaluating repeat-infringer status.

LeaseScores is not obligated to monitor user activity for infringement and does not assume any duty to do so. However, LeaseScores reserves the right to investigate suspected infringement, maintain records of infringement-related notices and actions, and act upon actual, alleged, or suspected infringement at any time and without prior notice, subject to applicable law.

LeaseScores’ decision to terminate, restrict, suspend, or decline to terminate any user account or access to the Service shall not constitute an admission that any user is or is not an infringer, repeat infringer, or violator of this Policy, LeaseScores’ Terms of Service, or applicable law. LeaseScores reserves all rights and remedies.

6. Contractor Work Photos

The Services Marketplace may permit contractors, service providers, vendors, and other users to upload, submit, post, transmit, display, or otherwise make available photographs, images, videos, descriptions, and other content relating to completed work, projects, properties, services, or other subject matter (“Contractor Content”). By uploading or otherwise making available any Contractor Content through the Service, the submitting user represents and warrants that: (a) the user owns or has obtained all rights, licenses, permissions, consents, and authorizations necessary to upload, submit, post, transmit, display, reproduce, distribute, and otherwise make such Contractor Content available through the Service; (b) the Contractor Content does not infringe, misappropriate, or otherwise violate any copyright, trademark, right of publicity, right of privacy, contractual right, property right, or other intellectual property or proprietary right of any person or entity; and (c) the Contractor Content complies with this Policy, LeaseScores’ Terms of Service, and all applicable laws, rules, and regulations. The display, publication, or availability of Contractor Content through the Service does not constitute LeaseScores’ endorsement, verification, approval, sponsorship, or recommendation of the Contractor Content, the submitting user, the underlying work, the property depicted, or any claims made in connection with such Contractor Content.

LeaseScores LLC — DMCA & Copyright Policy

LeaseScores does not independently verify and has no obligation to independently verify the ownership, authorship, accuracy, legality, permissions, releases, consents, licenses, or authorization status of any Contractor Content uploaded or otherwise made available by users. The submitting user is solely responsible for all Contractor Content submitted by that user and for obtaining and maintaining all required rights, permissions, consents, licenses, releases, and authorizations, including, without limitation, any permissions required from photographers, copyright owners, property owners, tenants, occupants, customers, contractors, subcontractors, employees, agents, or other third parties.

Property owners, tenants, occupants, customers, photographers, copyright owners, or other persons who believe that Contractor Content has been uploaded or used without authorization may contact LeaseScores as provided in this Policy or LeaseScores’ Terms of Service. If the complaint concerns alleged copyright infringement, the complaining party should submit a DMCA notification in accordance with Section 2 above. If the complaint concerns a non- copyright issue, including alleged violation of privacy, confidentiality, contractual restrictions, publicity rights, property-related concerns, or inaccurate attribution, LeaseScores may review and address the complaint in its sole discretion, but is not obligated to remove, disable access to, restrict, investigate, or take any other action except as expressly required by applicable law.

LeaseScores’ receipt, review, processing, or response to any complaint concerning Contractor Content shall not constitute an admission that the Contractor Content is infringing, unauthorized, unlawful, inaccurate, improper, or otherwise objectionable, nor shall LeaseScores’ decision not to remove or disable access to Contractor Content constitute an admission that the Contractor Content is authorized, lawful, accurate, non-infringing, or otherwise proper. LeaseScores reserves the right, in its sole discretion and without prior notice, to remove, disable access to, restrict, edit, decline to display, or refuse to restore any Contractor Content at any time and for any reason, including where LeaseScores believes that the Contractor Content may violate this Policy, LeaseScores’ Terms of Service, the rights of any third party, or applicable law.

Any license granted by users to LeaseScores with respect to Contractor Content shall be governed by LeaseScores’ Terms of Service or any other applicable written agreement between LeaseScores and the submitting user. Nothing in this Policy limits any license, ownership right, defense, remedy, or other right available to LeaseScores under its Terms of Service, any applicable agreement, or applicable law.

7. Good Faith; Misrepresentations; Reservation of Rights

All DMCA notices and counter-notifications submitted to LeaseScores must be truthful, accurate, complete, and submitted in good faith. By submitting a DMCA notice or counter- notification, the submitting party represents and warrants that the information contained in the submission is accurate and that the submission is made in good faith and in compliance with the DMCA, this Policy, and applicable law.

Any person who knowingly materially misrepresents that material or activity is infringing, or that material or activity was removed or disabled by mistake or misidentification, may be liable for damages, including costs and attorneys’ fees, under 17 U.S.C. § 512(f).

LeaseScores may reject, decline to process, or take no action in response to any notice, counter- notification, or other communication that LeaseScores believes, in its sole discretion, is false, misleading, incomplete, abusive, duplicative, automated, submitted in bad faith, or otherwise inconsistent with the DMCA, this Policy, LeaseScores’ Terms of Service, or applicable law.

LeaseScores reserves all rights and remedies with respect to any false, misleading, abusive, fraudulent, or bad-faith notice, counter-notification, or other communication, including the right to seek recovery of any damages, costs, attorneys’ fees, or other relief available under applicable law.

8. No Legal Determination by LeaseScores

LeaseScores does not adjudicate and has no obligation to adjudicate claims of copyright ownership, authorship, license, authorization, fair use, public domain status, implied consent, work-made-for-hire status, joint ownership, assignment, waiver, estoppel, privacy rights, publicity rights, contractual restrictions, property rights, or other legal or factual disputes between users, copyright owners, property owners, contractors, customers, photographers, or other third parties.

Any action or inaction by LeaseScores in response to a notice, counter-notification, complaint, or other communication is taken solely for purposes of administering the Service, preserving LeaseScores’ rights and defenses, and complying with applicable law as LeaseScores deems appropriate. No such action or inaction shall constitute a legal determination, admission of liability, waiver of rights, or endorsement of any party’s position.

9. Other Intellectual Property, Privacy, and Non-Copyright Complaints

This Policy is intended primarily to address copyright complaints under the DMCA. Complaints involving trademarks, trade names, logos, rights of publicity, rights of privacy, confidentiality obligations, contractual restrictions, property-related concerns, inaccurate attribution, misleading descriptions, or other non-copyright matters are not DMCA notices unless they also assert a claim of copyright infringement and substantially comply with the DMCA.

LeaseScores may, in its sole discretion, review, investigate, remove, disable access to, restrict, decline to restore, or take no action with respect to any non-copyright complaint, but LeaseScores does not undertake any obligation to do so except as expressly required by applicable law. LeaseScores reserves the right to require additional information, documentation, proof of ownership, proof of authorization, or other materials before taking action on any non- copyright complaint.

10. Records, Disclosure of Notices and Related Communications

LeaseScores may maintain copies and records of DMCA notices, counter-notifications, complaints, responses, user communications, removed or disabled content, account information, and related materials as LeaseScores deems appropriate for legal, compliance, operational, evidentiary, dispute-resolution, or business purposes.

By submitting a DMCA notice, counter-notification, or other complaint to LeaseScores, the submitting party acknowledges and agrees that LeaseScores may disclose the submission, including the submitting party’s name, contact information, allegations, statements, and supporting materials, to the affected user, the original complaining party, LeaseScores’ service providers, legal counsel, governmental authorities, courts, or other persons or entities as LeaseScores deems appropriate or as required or permitted by applicable law.

11. User Responsibility; Indemnity

Users are solely responsible for all content they upload, submit, post, transmit, display, or otherwise make available through the Service, including obtaining and maintaining all rights, licenses, permissions, consents, and authorizations necessary for such content.

Without limiting any indemnification obligations set forth in LeaseScores’ Terms of Service or any other applicable agreement, LeaseScores reserves all rights and remedies against any user whose content, conduct, notice, counter-notification, complaint, misrepresentation, or other act or omission results in any claim, dispute, demand, loss, liability, damage, cost, or expense incurred by LeaseScores, including attorneys’ fees and costs.

12. No Waiver; Conflicts

LeaseScores’ failure to enforce any provision of this Policy, LeaseScores’ Terms of Service, or any other applicable policy shall not constitute a waiver of LeaseScores’ right to enforce such provision or any other provision in the future. In the event of any conflict between this Policy and LeaseScores’ Terms of Service, the Terms of Service shall control except to the extent this Policy is required to control under the DMCA or other applicable law.

13. Changes to Policy

LeaseScores may modify, amend, supplement, or replace this Policy at any time by posting an updated version through the Service or by otherwise providing notice as LeaseScores deems appropriate. Any changes will be effective upon posting or as otherwise stated in the updated Policy. The version of this Policy in effect at the time LeaseScores receives a notice, counter- notification, complaint, or other communication shall govern LeaseScores’ processing of that submission, unless otherwise required by applicable law.
